Terms of Service & EULA

These Terms of Service and End User License Agreement ("Terms") govern your use of the iON mobile application (the "App"), listed on the App Store as iON: Nearby. By downloading, accessing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 17 years old (or the age of majority in your country, if higher) to use iON. By using the App you represent that you meet this requirement. The App is rated 17+ on the App Store because it includes user-generated content, messaging, and people nearby.

2. Your Account

• You create an account with Sign in with Apple or Google.
• You are responsible for activity under your account.
• Provide accurate information and keep your credentials secure.
• Access may be invite-based. We may suspend or terminate accounts that violate these Terms.

3. License

iON grants you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions (including Family Sharing, where applicable).

4. User-Generated Content

iON lets you create posts, comments, messages, photos, video, and other content ("User Content"). You retain ownership and grant iON a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display it to operate the App. You are solely responsible for your User Content and confirm you have the rights to share it.

5. Objectionable Content and Conduct — Zero Tolerance

There is zero tolerance for objectionable content or abusive behavior.

You agree NOT to post, send, or share content that:

• is illegal, hateful, harassing, threatening, or defamatory;
• is sexually explicit, pornographic, or exploits minors;
• depicts or promotes violence, self-harm, or dangerous activities;
• infringes intellectual property or privacy rights;
• is spam, fraudulent, or deceptive.

You also agree not to harass, bully, stalk, impersonate, or threaten other users.

6. Moderation, Reporting, and Blocking

• You can report objectionable content and block abusive users directly in the App (post, comment, or profile menu).
• We review reports and act on objectionable content and offending accounts — removing content and ejecting offending users — typically within 24 hours of a report.
• We may remove content or suspend accounts at our discretion to keep the community safe.

7. Virtual Currency ("ON")

• iON includes a closed virtual currency called ON.
• ON has no monetary value, cannot be purchased with real money, and cannot be redeemed, cashed out, or exchanged for money or anything of real-world value.
• There are no in-app purchases. In the App, “withdraw” means claiming accrued ON, not transferring money.
• ON and related features may be modified or discontinued at any time. We are not liable for any loss of ON.

8. Acceptable Use

You agree not to: (a) reverse engineer or interfere with the App; (b) access it by automated means except as permitted; (c) attempt unauthorized access to systems or other accounts; (d) use the App to violate any law.

9. Location Features

iON uses your location (with permission, while you use the App) to show nearby people and posts on Map and Cosmos. You can disable location access in iOS Settings; some features may then be unavailable.

10. Intellectual Property

The App (excluding User Content), including its design, logos, and software, is owned by iON and protected by intellectual property laws.

11. Termination

You may stop using the App and permanently delete your account at any time (Profile → Settings → Delete Account). We may suspend or terminate access if you violate these Terms.

12. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, iON WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, ARISING FROM YOUR USE OF THE APP.

14. Apple App Store — Additional Terms

If you download the App from the Apple App Store, you also agree:

• Parties. These Terms are between you and iON only, not with Apple. iON, not Apple, is solely responsible for the App and its content.
• License scope. The license in section 3 is limited to Apple-branded products you own or control, as permitted by Apple’s Usage Rules (including Family Sharing).
• Maintenance and support. iON is solely responsible for providing maintenance and support. Apple has no obligation whatsoever to furnish any maintenance and support services for the App.
• Warranty. iON is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.
• Product claims. iON, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
• Intellectual property. In the event of any third-party claim that the App or your possession and use of the App infringes that third party’s intellectual property rights, iON, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• Legal compliance. You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-party beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

15. Changes to These Terms

We may update these Terms. Material changes will be reflected by updating the “Last updated” date. Continued use after changes become effective constitutes acceptance.

16. Governing Law

These Terms are governed by the laws applicable in our principal place of business, except where local consumer-protection law requires otherwise.
